BY ACCESSING OR USING THE CarDoor.ca WEBSITE LOCATED AT www.cardoor.ca (THE “WEBSITE”) AND/OR ANY FEATURES OF THE CarDoor MOBILE APPLICATION MADE AVAILABLE (THE “APP”), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE (THE “TERMS”). THESE TERMS APPLY TO ALL USERS OF THE WEBSITE, APP, AND SERVICES (AS DEFINED BELOW), INCLUDING INDIVIDUALS AND ENTITIES WHO REGISTER FOR THE SERVICES, USE THE SERVICES, OR VISIT THE WEBSITE (COLLECTIVELY, “USERS”). IF YOU DO NOT AGREE WITH THESE TERMS, DO NOT USE THE WEBSITE, THE APP, OR THE SERVICES.

“CarDoor,” “we,” “us,” and “our” refer to CarDoor Inc. and its affiliates, the owners and operators of the Website and the App. The Website and App enable users to browse and search for vehicles, apply for financing with no sales pressure, and access other related services (together, the “Services”).

1. ELIGIBILITY

1.1 Use of Services: The Website, App, and Services are intended solely for individuals who are 18 years of age or older and are residents of Canada. Any access to or use of the Website, App, or Services by anyone under the age of 18 is prohibited. By accessing or using the Website, App, or Services, you represent and warrant that you are 18 years of age or older.

2. SERVICES

2.1 Financing: Users can apply for vehicle financing through a third-party partner. By using the portal, you agree to be bound by the terms of service and privacy policy of that third party. You further acknowledge that CarDoor has no control over whether your financing is approved.

2.2 Vehicle Inventory: CarDoor reserves the right to limit the availability of vehicles for sale. All vehicle descriptions, specifications, and prices on the Website or App are subject to change without notice. We make no representations regarding the accuracy, completeness, or timeliness of any information provided. We reserve the right to modify or update product details, prices, and availability without prior notice. While we strive to accurately display product colors on the Website and App, we cannot guarantee that your computer or device will display them correctly. The listing of products or services does not imply that they will be available at all times.

2.3 Vehicle Purchases: Advertisements for vehicles on the Website and App are considered invitations to make an offer to purchase, not an offer to sell. A properly completed bill of sale constitutes your offer to purchase a vehicle, and that offer is deemed accepted when CarDoor signs the bill of sale. All vehicle transactions, including purchase and trade-in, will be processed through a third-party platform. You agree to comply with all laws and regulations governing vehicle purchases, including any licensing or insurance requirements.

3. LICENSE AND RESTRICTIONS ON USE

3.1 License: Subject to your compliance with these Terms, CarDoor grants you a non-transferable, non-exclusive license to: (a) access and use the Website and Services for personal use, and (b) download, install, and use one copy of the App on a mobile device you own or control. The App is licensed to you, not sold. You may not use the CarDoor name, trademarks, logos, domain names, or other brand elements without prior written consent. You agree not to attempt to bypass or circumvent any usage restrictions on the Website, App, or Services.

3.2 Restrictions: CarDoor may impose limitations on the Website, App, or Services, including charging fees for certain features. You agree to use the Website and Services only for purposes permitted by these Terms. CarDoor reserves the right to modify or impose new limitations on the Website, App, or Services at any time. We also reserve the right to terminate access for any User without liability. When using the Website or Services, you agree not to:

• Violate any local, provincial, national, or international laws or regulations.
• Impersonate another person or entity.
• License, sell, rent, lease, or commercially exploit the Website, App, or Services.

By providing User Content, you grant CarDoor a worldwide, royalty-free, irrevocable license to use, display, modify, and distribute the content in connection with its business. You represent that you own or have the necessary rights to the content you submit.

5. TERM AND TERMINATION

6. IMPORTANT DISCLAIMERS

6.1 Advertising and Third-Party Links: The Website may contain advertisements and links to third-party websites. CarDoor is not responsible for the content or accuracy of third-party materials or the services they offer.

6.2 Assumption of Risk: You acknowledge that driving a vehicle involves inherent risks, including injury or death. You agree to assume full responsibility for these risks.

6.3 General Disclaimers: The Website, App, and Services are provided “as is”. CarDoor does not offer any warranties or guarantees regarding the accuracy or performance of the Website, App, or Services.

7. LIMITATION OF LIABILITY

7.1 Disclaimer of Damages: CarDoor is not liable for any damages resulting from your use or inability to use the Website, App, or Services, including but not limited to errors, personal injury, or property damage.

7.2 Liability Cap: CarDoor’s total liability for any damages will be limited to the greater of $50 CAD or the amount you’ve paid CarDoor in the 12 months prior to the event giving rise to the claim.

8. GENERAL TERMS

8.1 Export Control: You agree to comply with applicable export laws when using the Website, App, or Services.

8.2 Notices: CarDoor may provide notices regarding the Services via email or on the Website, App, or Services.

8.3 Governing Law & Disputes: These Terms are governed by the laws of Ontario, Canada. Any disputes will be resolved through arbitration in Toronto, Ontario.

8.3.1 Class Action Waiver: You agree that any claims will be resolved individually and not as part of a class action.

8.4 Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement. CarDoor may modify these Terms at any time.
